2009: Creating a new energy group

The history of the Encevo Group begins in 2009 with the creation of Enovos International, an integrated energy company formed from the merger of three well-established companies in the energy sector, each with a different focus:

  • Cegedel S.A. (electricity, Luxembourg)
  • Soteg S.A. (natural gas, Luxembourg)
  • Saar Ferngas AG (natural gas, Rhineland-Palatinate and Saarland)

From the outset, Enovos International was designed as a strong, regional energy player, capable of competing in the liberalised European energy market, while ensuring a secure and competitive energy supply for municipalities, industry and private customers.

Initially serving customers in the Greater Region (Luxembourg, Germany, France, Belgium), Enovos supplied electricity, natural gas and was already building a portfolio in renewable energies.

It was not until 2016 that the holding company Enovos International S.A. changed its name to Encevo.

Clear roles from the outset

At its creation, Enovos International was structured according to a clear, forward-looking model, that separated commercial activities from regulated network operations.
 

Enovos International S.A., the operational holding company headquartered in Luxembourg, stood at the top of this structure. Below this were two key business areas:

 

  • Enovos Luxembourg S.A. and Enovos Deutschland AG were responsible for commercial activities. This included energy production, procurement, sales and the development of renewable energy projects in Luxembourg, Germany, and other European countries.
  • Creos Luxembourg S.A. and Creos Deutschland GmbH operated as independent entities in charge of electricity and gas networks. Their separation from supply operations ensured full compliance with EU regulations governing the liberalised energy market.

Strengthening the national energy system in Luxembourg

Following its establishment, Enovos International rapidly consolidated its position in Luxembourg.

In 2010, Creos Luxembourg acquired the gas infrastructure of Luxgaz Distribution, reinforcing its role as the country’s main gas grid operator. At the same time, Enovos Luxembourg expanded its supply activities by taking over Leo S.A., the City of Luxembourg’s energy supplier.

This consolidation continued into 2011, when the City of Luxembourg transferred its electricity and gas networks to Creos Luxembourg. In exchange, the City became a shareholder in the company, further strengthening the public ownership of the national grid operator.

Together, these developments positioned the group at the heart of the region’s energy system.

2016: Enovos International becomes Encevo

A key step in the group’s evolution took place in 2016 when Enovos International S.A. was rebranded as Encevo S.A.
 

The change in branding reflected the group’s maturity and its role as a long-term player in infrastructure and the energy transition, rather than just a supply company. The new name underlined Encevo’s role as a strategic holding company, responsible for steering and coordinating distinct, yet complementary business activities across the energy value chain. At the same time, it clearly differentiated the role of the holding company from that of Enovos Luxembourg S.A., which operates as an energy supplier serving customers in the market.
 

Later, in 2021, Encevo Deutschland was similarly established as a holding structure to oversee activities in Germany, including grid and production and supply activities.

Building a third operational pillar with Teseos

From 2022 to 2025, Encevo further expanded its technical expertise and developed its services activities. These activities were brought together under the name Teseos Luxembourg, evolving into a dedicated pillar for technical and energy-related solutions.
 

The same structure was also established in Germany under the name Teseos Deutschland in 2025.
Teseos brings together companies active in:
 

  • Electrical and HVAC installations
  • Energy efficiency and consulting
  • Renewable installations (PV, storage, heat pumps)
  • Smart energy and e-mobility solutions
  • Facility management

Encevo today

The Encevo Group currently operates in Luxembourg, Germany, France, Belgium and the Netherlands. With over 3,000 employees, the group serves households, businesses and municipalities throughout the Greater Region. It is a fully integrated energy group, active across the entire value chain:

  • Enovos – energy supply, renewable energy generation
  • Creos – smart infrastructure management
  • Teseos – technical services
